Terms of Service
These Terms of Service ("Terms") govern your use of OrderSmart ("Service"), operated by OrderSmart ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Service Description
OrderSmart is an AI-powered inventory forecasting tool for restaurants. The Service provides weekly ordering recommendations based on your restaurant's historical data, menu, supplier information, and other factors you provide. The Service may also connect to third-party point-of-sale systems such as Square to import sales data.
2. User Responsibilities
You agree to:
- Provide accurate and complete information about your restaurant
- Maintain the security of your account credentials
- Use the Service only for lawful purposes
- Not share your account with unauthorized users
- Not attempt to reverse-engineer, scrape, or abuse the Service
3. Data Usage
You grant OrderSmart a license to use the data you provide (including restaurant information, inventory data, and usage patterns) to operate and improve the Service. We do not sell your data to third parties. Your data is used solely to generate forecasts and provide the Service to you.
4. Payment Terms
OrderSmart is offered on a subscription basis at $49/month per restaurant location. You receive a 21-day free trial with no credit card required. After the trial period, continued use requires a valid payment method. Subscriptions are billed monthly in advance. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
5. Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting us at ordersmartai@gmail.com. Upon cancellation, your access continues until the end of the paid billing period. Your restaurant data will be retained for 90 days after cancellation, after which it may be deleted.
6. Forecast Disclaimers
OrderSmart forecasts are estimates, not guarantees. AI-generated ordering recommendations are based on patterns and assumptions that may not reflect your actual business conditions. Results may vary significantly based on your restaurant, market conditions, weather, local events, and other factors. You are solely responsible for your purchasing decisions. OrderSmart shall not be liable for any losses resulting from following or not following forecast recommendations.
7. Intellectual Property
The OrderSmart platform, software, and all associated materials are owned by OrderSmart and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8. Limitation of Liability
To the maximum extent permitted by law, OrderSmart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising from your use of the Service. Our total liability to you shall not exceed the amounts you paid to us in the 12 months preceding the claim.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages. We reserve the right to modify or discontinue the Service with reasonable notice.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration.
